Terms of Service

01Acceptance of Terms

By accessing or using SheetForge (appmysheet.com) or any related services operated by APPS 365 LTD ("SheetForge", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the service.

If you are using SheetForge on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

02Definitions

• "Service" — The SheetForge platform, website, APIs, and all related tools and features.
• "User" — Any individual accessing the Service with a valid account.
• "Customer" — The individual or organisation subscribing to a paid tier.
• "User Data" — All data, files, spreadsheets, and content you upload, connect, or create within the Service.
• "Generated App" — A web application automatically created by SheetForge from your User Data.
• "Subscription" — Your chosen tier (Raw, Forge, Foundry, or Works) and associated billing period.
• "Custom Agreement" — A separate agreement available to Team tier customers requiring specific contractual terms.

03Account Registration

3.1 Eligibility

You must be at least 18 years of age to create an account. By registering, you confirm you meet this requirement.

3.2 Account Security

• Keep your password confidential and do not share it with any third party
• Use a strong, unique password and enable two-factor authentication where available
• Notify us at security@appmysheet.com if you suspect unauthorised access
• You are responsible for all activity that occurs under your account

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep this information up to date.

3.4 One Account Per User

Each individual may maintain one account. Creating multiple accounts to circumvent usage limits or tier restrictions is prohibited.

04The Service

4.1 Description

SheetForge is a no-code platform that transforms spreadsheet data sources (CSV, Excel, Google Sheets, OneDrive, Supabase) into functional web applications. Features available depend on your subscription tier.

4.2 Platform Updates

We reserve the right to modify, update, or discontinue features at any time. We will provide reasonable notice of material changes affecting paid subscribers.

4.3 Third-Party Integrations

The Service integrates with third-party services (Google, Microsoft, Supabase, etc.). Your use of those integrations is subject to the respective third parties' terms. SheetForge is not responsible for the availability or conduct of third-party services.

05Subscription Tiers

Tier capabilities are defined in the product documentation. We reserve the right to adjust tier features with 30 days' notice to existing subscribers.

06Payment & Billing

6.1 Billing

Paid subscriptions are billed in advance, monthly or annually. All prices are in GBP and exclude VAT, which will be added where applicable.

6.2 Payment Processing

Payments are processed by Stripe. By subscribing, you authorise SheetForge to charge your payment method on a recurring basis until you cancel.

6.3 Automatic Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. You can cancel at any time from your account settings.

6.4 Refunds

Monthly subscriptions are non-refundable. Annual subscriptions cancelled within 14 days of first purchase qualify for a pro-rata refund under UK consumer law. After 14 days, annual subscriptions are non-refundable.

6.5 Failed Payments

If a payment fails, we will retry the charge and notify you. If payment is not received within 7 days, access may be downgraded to the Raw tier until payment is received.

6.6 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use after the notice period constitutes acceptance. If you do not accept the new price, you may cancel before the change takes effect.

07Your Data

7.1 Ownership

You retain full ownership of all User Data you upload to or connect through SheetForge. These Terms do not grant SheetForge any ownership rights over your data.

7.2 Licence to Operate

By using the Service, you grant SheetForge a limited, non-exclusive, royalty-free licence to access, store, process, and display your User Data solely to the extent necessary to provide the Service you have requested.

7.3 No Commercial Use of Your Data

SheetForge will not sell, rent, licence, or use your User Data for advertising, AI model training, or any commercial purpose other than operating the Service for you.

7.4 Your Responsibility

• You have all necessary rights to upload and process the User Data through the Service
• Your User Data does not violate any applicable law or third-party rights
• You are responsible for ensuring User Data does not contain unlawful content

7.5 Data on Termination

Upon account termination, we retain your data for 90 days to allow reactivation. After that, all User Data is permanently deleted. You are responsible for exporting your data before termination.

08Acceptable Use Policy

You agree not to use SheetForge to:

• Violate any applicable local, national, or international law or regulation
• Upload or process data that you do not have the right to use
• Store or distribute malware, viruses, or malicious code
• Attempt to gain unauthorised access to any part of the Service or other users' data
• Conduct denial-of-service attacks or excessive automated requests
• Scrape, copy, or replicate the Service's functionality for a competing product
• Engage in any activity that could harm SheetForge's infrastructure or other users
• Send unsolicited communications (spam)
• Impersonate any person or organisation

09Intellectual Property

9.1 SheetForge IP

The SheetForge platform, including its code, design, brand, and documentation, is owned by APPS 365 LTD and protected by intellectual property law. These Terms do not grant you any rights to our IP except the limited licence to use the Service.

9.2 Your IP

You retain all intellectual property rights in your User Data and Generated Apps, subject to SheetForge's rights to operate the platform.

9.3 Feedback

If you provide feedback or suggestions, you grant SheetForge a perpetual, irrevocable, royalty-free right to use that feedback for any purpose without obligation to you.

10Availability & SLA

10.1 Target Availability

We aim to maintain 99.5% uptime for paid tiers on a monthly basis.

10.2 Scheduled Maintenance

We will provide advance notice of scheduled maintenance windows where possible. Maintenance is typically performed outside peak UK business hours.

10.3 No Guarantee

The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation for free tier users.

11Limitation of Liability

To the maximum extent permitted by applicable law, APPS 365 LTD's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of:

• The total fees paid by you to SheetForge in the 12 months immediately preceding the claim, or
• £100 (one hundred pounds sterling)

In no event shall SheetForge be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity.

12Warranties & Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, SheetForge disclaims all warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose. You are responsible for maintaining appropriate backups of your User Data.

13Termination

13.1 Termination by You

You may terminate your account at any time via account settings. Termination takes effect at the end of your current billing period for paid subscriptions.

13.2 Termination by Us

We may suspend or terminate your account immediately if you breach any material provision of these Terms, engage in prohibited conduct, fail to pay amounts due, or if we are required to do so by law. For non-material breaches, we will provide 14 days' notice and opportunity to remedy.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 7.5, 9, 11, 12, 15, and 16 survive termination.

14Custom Agreements

Team tier customers may request a Custom Agreement with APPS 365 LTD that supplements these Terms where specified. Custom Agreements may address:

• Custom SLA commitments and uptime guarantees
• Data Processing Agreement (DPA) under UK/EU GDPR
• Dedicated support and incident response procedures

15Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For consumer users in the European Union, mandatory consumer protection provisions of your country of residence will also apply.

Before initiating legal proceedings, we encourage you to contact us at legal@appmysheet.com to attempt informal resolution.

16Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' written notice to registered users via email, display a prominent notice on appmysheet.com, and update the "Last updated" date. Continued use after the effective date constitutes acceptance.
